Confidentiality Terms

Internet Promotions Ltd has developed a business concept under the netpromo brand which has considerable commercial value and which it wishes to hold secret for the benefit of agents. The company has produced a prospectus to allow interested parties to evaluate this business opportunity. This prospectus contains details of the netpromo agency including information relating to the business format, its operation and aspects of technical innovation which Internet Promotions Ltd rightly regard as business secrets.

All persons applying for a copy of this prospectus hereby agree to hold its contents and any other information provided in whatever form, whether commercial, financial or technical, supplied by Internet Promotions Ltd (all herein referred to as 'Confidential Information') in confidence and must not disclose or transfer Confidential Information to any person, other than their professional advisers, provided that prior to such disclosure those parties agree to abide by the confidentiality obligations of the party making the disclosure.

Without prejudice to the foregoing generality Confidential Information must not be released to the public or any other business under any circumstances or be used to start up a similar business and thus become a competitor to Internet Promotions Ltd and their netpromo agents.

Any breach or suspicion of breach of this agreement will be tried under Scots law and liability for damages put forward.
